1. Introduction

These Terms and Conditions govern the use of MyGroce, operated by S4 Vellcon Private Limited. By accessing or using MyGroce's website, merchant portal, customer application, delivery application, APIs, and related services, you agree to be bound by these Terms.

2. Definitions

Define Company, Platform, Merchant, Customer, Delivery Partner, User, Services, Content, Subscription, Marketplace, Storefront and applicable terms.

3. Eligibility

Users must have legal capacity to enter into binding agreements and provide accurate information.

4. Account Registration

Users are responsible for maintaining account credentials and all activities under their accounts.

5. Services

MyGroce provides eCommerce storefronts, POS, inventory, HRMS, CRM, delivery management, marketplace services, subscriptions, APIs and related software solutions.

6. Acceptable Use

Users shall not misuse the platform, attempt unauthorized access, upload malicious software, infringe intellectual property or violate applicable laws.

7. Intellectual Property

All software, branding, trademarks, source code, UI, documentation and content remain the exclusive property of S4 Vellcon Private Limited unless otherwise stated.

8. Merchant Responsibilities

Merchants are responsible for products, pricing, taxes, compliance, order fulfillment, refunds and customer support.

9. Customer Responsibilities

Customers agree to provide accurate information and use the platform lawfully.

10. Payments & Subscriptions

Subscription fees, payment gateway charges, renewal terms, taxes and billing are governed by the selected plan.

11. Third-Party Services

MyGroce may integrate with payment gateways, logistics providers, Shiprocket, WhatsApp Business APIs, SMS gateways and other partners. Their separate terms also apply.

12. Limitation of Liability

Services are provided on an 'as is' and 'as available' basis. Liability is limited to the maximum extent permitted by applicable law.

13. Suspension & Termination

Accounts may be suspended for fraud, non-payment, abuse, legal violations or security risks.

14. Data Retention

Business data is retained according to subscription plans and applicable legal obligations.

15. Governing Law

These Terms are governed by the laws of India. Courts having jurisdiction over the Company's registered office shall have exclusive jurisdiction unless otherwise required by law.
